Effective October 15, 2026.
These terms apply when you buy a ztd license plan or a services engagement from Lateralus Labs, LLC ("we", "us") on zerotrustdata.io. "You" means the person or organization that completes checkout. Accepting these terms at checkout makes them a binding agreement between you and us.
What ztd's license already allows
ztd is published under the Business Source License 1.1. Anyone may copy, modify, build, and run ztd for non-production use at no cost. Production use requires a commercial license, which is what the plans below sell. Each version converts to the Apache License 2.0 on its Change Date, as stated in the license.
License plans
A paid plan grants you a non-exclusive, non-transferable right to use ztd in production within the plan's limits, for as long as the plan is paid and active.
| Plan | Production limit | Billing |
|---|---|---|
| Compliance CLI Pack | Up to 10 enrolled Operators | Monthly |
| 50-Host Fleet Pack | Up to 50 enrolled Operators and Gateways combined | Yearly |
| 250-Host Sovereign Pack | Up to 250 enrolled Operators; unlimited Gateways | Yearly |
| Principal Architect Retainer | Includes the 50-Host Fleet Pack while the retainer is active | Monthly |
"Enrolled" means an Operator or Gateway identity that is enrolled and running in a production environment at the same time as others. Non-production environments do not count.
Counting is on the honor system. ztd has no license keys and no enforcement in the software. You agree to stay within your plan's limit and to move to a larger plan before you exceed it. Once a year, we may ask you to confirm your enrolled count in writing.
You may not resell, sublicense, or redistribute ztd, or offer it to third parties as part of a product or managed service. That use requires the OEM license.
OEM license
The OEM license is governed by the ztd Commercial OEM License Agreement, which we sign with you after checkout. Until it is signed, these terms apply, and the OEM rights described on the website start on the date of signature.
Delivery
Within one business day of payment, we email you a License Certificate. It records your organization, plan, production limit, and term. It is a record of your license. It is not an audit opinion, a security certification, or an attestation about your own systems.
Stripe emails your receipt and invoice when you pay. Billing questions, purchase orders, and invoice requests go to danny@zerotrustdata.io.
Renewal and cancellation
Plans renew automatically at the end of each monthly or yearly period until you cancel. You can cancel at any time from the billing link in your Stripe receipt or by emailing us. Cancellation takes effect at the end of the current paid period. Your production rights end then, and we do not issue refunds for partial periods.
Refunds: If you ask within 14 days of your first payment for a license plan, we refund that payment in full.
Support
Paid plans include asynchronous email support from the principal engineer behind ztd. We aim to give a written response within one business day. Support is best-effort. We offer no uptime, response-time, or resolution service level agreement.
Services engagements
This section covers the Architecture & Red-Team Diagnostic, the 0-to-1 Governance or SRE Buildout, and the Principal Architect Retainer.
- Scheduling: After payment, we agree on scope and a start date by email. Work begins within two business days of that agreement, or on the later date you choose.
- Access: You provide the access, documentation, and contacts the work needs. Delays on your side extend the timeline. They do not reduce the scope.
- Deliverables: Each engagement delivers what its website description lists. Unless we agree otherwise in writing, you own the written deliverables and code we produce for you. We keep ownership of ztd and of our pre-existing tools and know-how.
- Confidentiality: We keep your non-public information confidential and use it only to do the work. We will sign your NDA on request.
- Refunds: If you cancel before work begins, we refund fixed-fee engagements in full. Once work begins, they are non-refundable. You can cancel the retainer at any time, and cancellation takes effect at the end of the current month.
Compliance evidence
ztd produces technical evidence: signed receipts, hash-chained ledgers, and compliance report bundles. Neither ztd nor we certify that you comply with any law, framework, or standard. That determination belongs to you and your auditors.
Warranty disclaimer
ztd and all deliverables are provided as is, without warranties of any kind, express or implied. This includes merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.
Taxes
Prices exclude taxes unless the checkout page shows them. You are responsible for taxes on your purchase, except taxes on our income.
General
Oregon law governs these terms, and the state and federal courts in Multnomah County, Oregon, have exclusive jurisdiction. These terms, your checkout record, and any signed agreement are the entire agreement for your purchase. If a signed agreement conflicts with these terms, the signed agreement controls. We may update these terms for future purchases and renewals. The version in effect when you buy or renew applies to that period.
